The REACT Data Room.

By clicking “I Agree,” entering an access code, or otherwise accessing the materials made available by REACT Software, Inc. (the “Company”), you—on behalf of yourself and the firm or organization you represent (together, “you”)—acknowledge and agree to the following in exchange for being granted access to confidential materials for the purpose of evaluating a potential investment in the Company (the “Purpose”):

1. The materials made available to you, including the Company’s financial model, business plan, capitalization information, technical and product information, intellectual property, and the identities of and relationships with its customers, pilot agencies, partners, advisors, and investors (collectively, the “Confidential Information”), are confidential and proprietary to the Company.
2. You will use the Confidential Information solely for the Purpose and for no other purpose.
3. You will keep the Confidential Information confidential and will not disclose it to any third party, except to your own directors, officers, employees, partners, and professional advisors who need to know it for the Purpose and who are bound by confidentiality obligations no less protective than these.
4. You will not copy, reproduce, distribute, publish, or post the Confidential Information, and will not use it to compete with the Company or to circumvent the Company in any of the relationships described above.
5. The Confidential Information is provided “as is,” without any representation or warranty as to its accuracy or completeness. Nothing here obligates either party to proceed with any transaction; binding obligations arise only under a separate definitive written agreement.
6. The existence and substance of your discussions with the Company, and the fact that Confidential Information has been disclosed, are themselves confidential.
7. Upon the Company’s request, you will promptly cease accessing the materials and return or destroy any Confidential Information in your possession.
8. These obligations remain in effect for two (2) years from the date of acceptance and are governed by the laws of the State of Delaware. Exclusions for information that is public, already known to you, independently developed, or rightfully received from a third party apply.

Acceptance

Clicking “I Agree” or accessing the materials constitutes your acceptance of these terms and has the same legal effect as a signature. If you do not agree, do not access the materials.
